Terms of Service

These Terms of Service ("Terms") govern your use of the SyndromeAI platform ("Service") operated by SyndromeAI ("we," "our," or "us"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

SyndromeAI is a gas station operations intelligence platform that:

• Parses POS reports (Topaz, Tender) and tank monitoring data (Veeder Root)
• Provides sales analytics, fuel variance detection, and employee risk scoring
• Generates automated weekly reports and strategy decks
• Delivers real-time alerts for anomalies and operational issues

2. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You may create sub-accounts for managers as permitted by your plan
• You must be at least 18 years old and have the authority to bind your business to these Terms

3. Free Trial

• All plans include a 14-day free trial with full access to plan features
• No credit card is required to start a trial
• At the end of the trial, you may choose to subscribe or your account will be deactivated
• Trial data is retained for 30 days after trial expiration to allow for easy reactivation

4. Subscription & Billing

• Subscriptions are billed monthly or annually, depending on your selected plan
• Payments are processed securely through Stripe
• Prices are listed on our pricing page and may change with 30 days written notice
• You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle
• Failed payments will be retried up to 3 times over 7 days before account suspension

5. Cancellation & Refunds

• You may cancel your subscription at any time from your account settings or by contacting support
• Cancellation takes effect at the end of your current billing period
• We offer a 30-day money-back guarantee for new subscribers — if you're not satisfied within 30 days of your first payment, we'll refund the full amount
• After the 30-day guarantee period, no partial refunds are issued for unused portions of a billing period
• Annual plans may be refunded on a pro-rata basis within the first 90 days

6. Data Ownership

• You may export your data at any time in CSV or PDF format
• You may request a complete data export or deletion by contacting support
• Upon account cancellation, data is retained for 30 days, then permanently deleted
• We may use anonymized, aggregated data (with no identifying information) to improve our algorithms and service

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorized access to other accounts or systems
• Reverse-engineer, decompile, or disassemble the Service
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to store data unrelated to gas station operations

8. Service Availability & SLA

We are committed to providing reliable service:

• Uptime guarantee: We target 99.9% uptime for the platform, measured monthly
• Scheduled maintenance: Planned maintenance will be communicated at least 48 hours in advance and scheduled during low-usage hours (typically 2–5 AM ET)
• Incident response: Critical issues (data loss, complete outage) are addressed within 1 hour. High-priority issues (partial outage, degraded performance) within 4 hours
• SLA credits: If uptime falls below 99.9% in a calendar month, you are eligible for a service credit of 10% of that month's fee for each additional 0.1% of downtime, up to 30% of the monthly fee

9. Intellectual Property

• The SyndromeAI platform, including its design, features, algorithms, and documentation, is our intellectual property
• We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription
• Our name, logo, and branding are trademarks and may not be used without written permission
• Feedback and feature suggestions you provide may be used by us to improve the Service without obligation

10. Limitation of Liability

• Our total liability for any claim arising from the Service is limited to the total amount you paid us in the 6 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for losses resulting from inaccurate data extraction if the source documents are illegible, corrupted, or in unsupported formats
• We are not responsible for business decisions made based on the analytics and insights provided by the Service

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your violation of these Terms
• Your use of the Service in a manner not authorized by these Terms
• Your violation of any applicable law or regulation

12. Termination

• By you: You may terminate your account at any time by cancelling your subscription
• By us: We may suspend or terminate your account for violation of these Terms, non-payment (after the retry period), or illegal activity
• Effect of termination: Upon termination, you retain the right to export your data for 30 days. After that, data is permanently deleted
• We will provide at least 30 days' notice before terminating an account in good standing

13. Dispute Resolution

• Informal resolution: We encourage you to contact us first at [email protected] to resolve disputes informally
• Mediation: If informal resolution fails, both parties agree to attempt mediation before pursuing legal action
• Governing law: These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles
• Jurisdiction: Any legal proceedings shall be filed in the state or federal courts located in Michigan

14. Changes to These Terms

• We may update these Terms from time to time
• Material changes will be communicated via email at least 30 days before taking effect
• Continued use of the Service after the effective date constitutes acceptance
• If you disagree with changes, you may cancel your subscription before the effective date
